Resideo is hiring for the position of Senior Corporate Counsel with experience of 5+ years to join their Bengaluru office.
Role and Responsibilities
- Draft, implement, and maintain up-to-date standard contracts for all standard business and procurement transactions.
- Review proposed business contracts and identify risk areas to business management with recommendations as to risk containment.
- Coordinate with other functions to obtain input on commercial and legal issues relative to their areas of expertise and consolidate and incorporate issues of concern into risk containment recommendations.
- Independently review and negotiate customer, SAAS, and supplier contracts (both on the direct and indirect side).
- Own the NDA review and negotiation process across the organization.
- Understanding of global data privacy laws in the rapidly changing emerging technology market and independent negotiation of DP clauses within all supplier contracts based on internal playbooks.
- Revise and modify contractual terms as per Company standards.
- Work with customers and Credit and Sales teams to complete required documents as needed.
- Prepare resolutions, board minutes, and other documents as required for corporate entity maintenance.
- Assist in due diligence and integration processes for Mergers and Acquisitions as required.
- Legal support to internal IP and HR/Employee benefit teams as requested.
- Prepare, revise, and standardize processes for negotiations.
- Research laws and regulations as required.
- Promote compliance with all Resideo and ADI policies.
- Proactively develop process-related improvements including helping internal teams in the creation and customization of contract management tools to suit the organizational need, and advising associates on the e-platform available in this regard.
- Manage internal Legal webpage updates and revisions.
Eligibility
- Bachelor's degree in law with post qualification (preferable) 5+ years of experience in commercial contracts drafting, review, and negotiations.
- Experience working for a US-based company with hands-on experience working on contracts globally.
- Proven success in complex negotiations with North American or European counterparts.
- Background in government or commercial contracting, contract development, subsidiary management, contract management, negotiating, and drafting.
- A self-starter who has a willingness to learn and grow with the business.
- Familiarity with Word, PowerPoint, Excel, and CLM software
Salary/Stipend
