Zazz.io is looking for a candidate for the position of Senior Corporate Lawyer.
Role and Responsibilities
- Drafting and Reviewing Contracts: Draft, review, and negotiate a wide range of software contracts, including software licensing agreements, service agreements, master services agreements, and other related contracts ensuring compliance with applicable laws and company policies.
- Service Level Agreements (SLAs): Develop and review SLAs to establish clear expectations regarding the quality and delivery of services provided by the company.
- Litigation Management: Manage litigation matters by collaborating with external counsel, conducting legal research, preparing legal documents, and representing the company's interests in court proceedings, mediations, arbitrations, and negotiations.
- Regulatory Compliance: Stay updated on relevant laws, regulations, and industry standards affecting the software development sector, and ensure the company's compliance with them.
- Risk Management: Identify legal risks associated with business activities, propose risk mitigation strategies, and provide proactive legal advice to relevant stakeholders.
- Intellectual Property Protection: Provide legal guidance on intellectual property matters, including patent, copyright, and trademark issues, and ensure the protection of the company's intellectual property rights.
- Contract Management: Implement and maintain an efficient contract management system to streamline contract processes, ensure proper documentation, and track contract obligations and deadlines.
- Legal Advice and Training: Provide legal advice and training to internal teams on legal matters, contract interpretation, compliance requirements, and best practices.
- Due Diligence: Conduct legal due diligence for mergers, acquisitions, partnerships, and other strategic transactions to assess legal risks and liabilities.
- Collaboration: Collaborate effectively with cross-functional teams, including business development, finance, product development, and compliance, to support business objectives while managing legal risks.
Eligibility
- Bachelor/Master's degree from an accredited law school.
- Active license to practice law in the relevant jurisdiction.
- Minimum of 5 years of experience practicing law, with a focus on corporate law, contract law, and commercial litigation.
- Extensive experience drafting and negotiating software contracts and service-level agreements.
- Strong understanding of intellectual property law and its application in the software development industry.
- Excellent analytical, negotiation, and communication skills.
- Ability to work independently, manage multiple priorities, and thrive in a fast-paced environment.
- Experience working in or representing technology companies or software development firms is preferred.
- Proven track record of providing strategic legal advice and effectively managing litigation matters.
- Proficiency in legal research and contract management software tools.
