Details of the Job/Internship
TECEZE is hiring a Senior Corporate Legal Counsel for a full-time, on-site role in Chennai. The role involves providing strategic legal advice to leadership, overseeing corporate governance and compliance, managing complex commercial contracts, mitigating legal risks, and handling litigation and external counsel in a fast-paced corporate environment.
Role and Responsibilities
- Advising the board, executive leadership and senior management on corporate governance matters.
- Ensuring compliance with corporate laws, securities regulations and regulatory requirements.
- Drafting, reviewing and maintaining corporate governance documents, statutory filings and corporate records.
- Drafting, reviewing, negotiating and approving complex commercial agreements, including M&A, joint ventures, shareholder, investment, vendor, customer, licensing and service agreements.
- Identifying, assessing and mitigating legal risks across business operations.
- Providing legal advice on corporate strategy, restructuring, investments and new business initiatives.
- Managing litigation, arbitration and dispute resolution matters and supervising external counsel.
- Leading or supporting legal due diligence and transaction documentation for mergers, acquisitions and restructurings.
- Mentoring junior legal staff and collaborating with internal teams including compliance, risk, HR, finance and operations.
Eligibility
- Bachelor’s degree in Law (LLB or equivalent).
- Master’s degree in Law (LLM), if any.
- Admission to practise law in the relevant jurisdiction.
- 8–12 years of post-qualification experience in corporate legal practice.
- Experience in a large corporation, multinational organisation or top-tier law firm.
- Strong background in corporate law, commercial contracts and regulatory compliance.
- Experience in handling complex transactions and advising senior stakeholders.
- Excellent drafting, negotiation and analytical skills.
- Strong communication, interpersonal and leadership skills.
Salary/Stipend
