Details of the Job/Internship

LegaLogic Consulting is hiring a Senior Legal Advisor with experience in M&A practice to join their office in Pune District. The role involves providing expert legal and regulatory counsel on corporate law matters, including due diligence, investment and acquisition transactions, review of term sheets, and transaction structuring.

Role and Responsibilities

• Review and structure term sheets to ensure compliance with legal standards and alignment with transaction objectives.
• Assist in negotiating and drafting share subscription and purchase agreements, shareholders’ agreements, and other transaction documents.
• Conduct comprehensive legal due diligence to identify and mitigate risks in M&A transactions.
• Provide legal opinions and strategic advice on corporate restructuring, mergers, and acquisitions.
• Conduct research on applicable laws, case laws, procedures, and judicial precedents.
• Lead client communications and advise on transaction strategies.
• Liaise with legal counsels, associates, and clients for seamless transaction execution.
• Handle online filings and procedural compliance with relevant authorities.
• Guide and mentor the legal team on technical and practical aspects of M&A transactions.
• Proactively manage matters by anticipating challenges and ensuring regulatory compliance.
• Provide timely updates and maintain clear communication with clients and stakeholders.

Eligibility

• Law degree from an accredited law school.
• Company Secretary qualification will be an added advantage.

Salary/Stipend

Compensation details will be finalized during the interview process with the selected candidate.
