Details of the Job/Internship
LegaLogic is hiring a Senior Legal Advisor with 4+ years of experience to join its M&A – Capital Markets Team in Pune.
Role and Responsibilities
- Lead and manage capital markets and IPO transactions from a legal advisory perspective.
- Review, structure, and negotiate term sheets and transaction frameworks in line with commercial and regulatory requirements.
- Draft, negotiate, and finalise transaction and investment documents, including offer documents and ancillary agreements.
- Advise on IPOs, FPOs, rights issues, preferential allotments, QIPs, and private placements.
- Draft, vet, and review DRHPs, RHPs, prospectuses, offer letters, and disclosure documents.
- Advise on SEBI regulations, ICDR Regulations, LODR Regulations, stock exchange requirements, and Companies Act compliances.
- Conduct and supervise legal due diligence, identify risks, and recommend mitigation strategies.
- Provide structuring and strategic advice on mergers, demergers, acquisitions, corporate restructuring, fundraising, and public market transactions.
- Act as the primary interface with regulators and intermediaries including SEBI, stock exchanges, RoC, merchant bankers, auditors, and consultants.
- Handle regulatory filings and submissions with statutory authorities.
- Advise on pre-listing and post-listing compliances, corporate governance, disclosures, and insider trading regulations.
- Conduct legal research on securities laws, regulatory circulars, judicial precedents, and policy developments.
- Mentor and supervise junior associates and review their work.
- Proactively manage transaction timelines, regulatory challenges, and stakeholder coordination.
- Ensure timely, strategic, and clear communication with clients and internal teams.
Eligibility
- Law degree from an accredited law school.
- Company Secretary qualification is preferred.
- Minimum 4+ years of relevant experience in capital markets and IPO-related work.
- Strong drafting, negotiation, research, and analytical skills.
- High level of accuracy, attention to detail, and professional integrity.
- Ability to manage multiple transactions efficiently in a dynamic environment.
Salary/Stipend
