The organization has launched 5 Centers of Excellence in Tech, Marketing, Sales, UI/UX, and Investment Banking. 

Details of the Job/Internship

Turbostart is hiring a Senior Legal Associate with 4-6 years of experience to join their office in Bengaluru. 

Role and Responsibilities

• Lead end-to-end PE/VC transactions, including structuring, due diligence, drafting/negotiating documents (SHA, SSA, SPAs), and closing.
• Ensure SEBI compliance for AIF Category I funds, covering filings, reporting, governance, and disclosures.
• Draft, review, and negotiate investment agreements, shareholder agreements, term sheets, and corporate documents.
• Handle commercial contracts like MSAs, vendor agreements, license agreements, IP agreements, SaaS agreements, and purchase orders.
• Collaborate with internal teams, external counsel, investors, and portfolio companies.
• Support fund documents such as PPMs and contribution agreements.
• Provide advisory on Companies Act, FEMA, SEBI, and securities laws.

Eligibility

• Bachelor’s Degree in Law (LL.B.); CS, LLM, or securities law certifications advantageous.
• 4-6 years post-qualification experience in tier 1/2 law firm, AIF fund house, or corporate team handling PE/VC.
• Mandatory AIF Category I compliance experience.
• Proven due diligence for PE/VC transactions.
• Strong corporate law, securities, M&A knowledge; excellent drafting/negotiation skills.
• Experience vetting/drafting commercial agreements.
• Ability to manage multiple projects independently with ownership and attention to detail.
• Prior regulatory interaction (SEBI, RBI) preferred.
• Excellent communication and business judgment.
