Details of the Job/Internship
Turbostart is hiring for the position of Senior Legal Associate with 4-6 years of experience to join their office in Bengaluru.
Role and Responsibilities
- Transaction Management: Lead end-to-end PE/VC transactions—from structuring, due diligence, and drafting to negotiation and closure (including SHA, SSA, SPA, etc.).
- AIF CAT I Compliance: Oversee all regulatory and compliance matters related to Category I AIFs, including SEBI filings, investor reporting, and governance requirements.
- Investment Document Drafting: Draft and negotiate investment agreements, shareholder agreements, joint venture agreements, term sheets, and other related legal documentation.
- Commercial Contracts: Draft and manage a variety of agreements, including MSAs, SaaS agreements, vendor/customer contracts, IP licensing, purchase orders, and proposals.
- Stakeholder Collaboration: Liaise with internal teams, portfolio startups, external legal counsel, and investors to drive transactions and ongoing legal support.
- Fund Documentation: Assist in preparing fund formation documents such as PPMs, contribution agreements, and investor communications.
- Regulatory Advisory: Provide guidance on Companies Act, FEMA, SEBI, and related laws impacting fund operations and portfolio investments.
Eligibility
- LL.B. from a recognized institution; CS, LLM, or Securities Law certifications are a plus.
- 4–6 years of post-qualification experience with a top-tier corporate law firm, AIF, or corporate legal team focused on PE/VC investments.
- Mandatory: Hands-on experience with AIF Category I regulatory compliance.
- Strong background in M&A, due diligence, and investment structuring.
- In-depth knowledge of corporate, securities, and foreign exchange laws.
- Proven ability to manage multiple high-stakes transactions independently.
- Excellent contract drafting, negotiation, and analytical skills.
- Experience engaging with regulatory authorities such as SEBI and RBI is a plus.
- Exceptional communication skills—both written and verbal.
- High attention to detail, sound judgment, and a proactive, ownership-driven mindset.
