Turbostart is hiring for the position of Senior Legal Associate with 4-6 years of experience to join their office in Bengaluru.
Role and Responsibilities
- Transaction Management: Lead and manage end-to-end PE/VC investment transactions, including structuring deals, conducting due diligence, drafting and negotiating transaction documents such as Shareholders’ Agreements (SHA), Subscription Agreements (SSA), Share Purchase Agreements (SPA), and supporting transaction closures.
- Regulatory Compliance: Ensure ongoing compliance with SEBI AIF Regulations for Category I funds, managing regulatory filings, reporting, governance standards, and investor disclosures.
- Investment Document Preparation: Draft, review, and negotiate investment and corporate documents, including joint venture agreements, securities subscription agreements, term sheets, and shareholder agreements.
- Commercial Contract Management: Draft and negotiate a variety of commercial contracts such as Master Service Agreements, Vendor and Customer Agreements, License Agreements, IP agreements, SaaS agreements, purchase orders, and proposals.
- Stakeholder Engagement: Collaborate closely with internal teams, external counsel, investors, and portfolio companies to manage legal milestones and ongoing requirements.
- Fund Documentation: Support drafting and maintenance of fund formation documents including Private Placement Memorandums (PPMs), contribution agreements, and investor-related documentation.
- Legal Advisory: Provide expert advisory on corporate laws including the Companies Act, FEMA, SEBI regulations, and securities laws impacting fund operations and investments.
Eligibility
- Bachelor of Laws (LL.B.) degree; additional qualifications such as CS, LLM, or certifications in securities laws are a plus.
- 4 to 6 years of post-qualification experience with Tier 1 or Tier 2 corporate law firms, AIF fund houses, or corporate legal teams specializing in PE/VC transactions.
- Proven experience in managing AIF Category I fund compliance and regulatory requirements.
- Strong track record of conducting due diligence for PE/VC investment deals.
- Deep understanding of corporate law, securities law, and M&A transaction structuring.
- Exceptional drafting, negotiation, and deal structuring skills related to M&A and PE/VC investments.
- Hands-on experience in corporate advisory and commercial contract drafting and vetting.
- Ability to independently manage multiple transactions and projects with minimal supervision.
- Demonstrates high ownership, keen attention to detail, and sound business judgment.
- Experience liaising with regulatory authorities such as SEBI and RBI is highly desirable.
- Excellent communication skills, both written and verbal.
