Details of the Job/Internship
Turbostart is hiring a Senior Legal Associate with 4–6 years of experience to manage the lifecycle of PE and VC investment transactions and oversee legal and regulatory compliance for AIF Category I funds. The role involves transaction execution, drafting and negotiating investment and commercial contracts, regulatory filings, and advisory support on corporate and securities laws.
Role and Responsibilities
- Lead end-to-end PE/VC investment transactions including structuring, due diligence, drafting and negotiating SHAs, SSAs, SPAs, and closing documentation.
- Ensure ongoing compliance with SEBI AIF Regulations for Category I funds, including filings, reporting, governance standards, and investor disclosures.
- Draft, review, and negotiate investment documents such as shareholder agreements, joint venture agreements, securities subscription agreements, share purchase agreements, and term sheets.
- Draft, review, and negotiate commercial agreements including MSAs, customer/vendor agreements, license agreements, IP agreements, SaaS agreements, purchase orders, and proposals.
- Collaborate with internal teams, external counsel, investors, and portfolio companies to manage transaction milestones and legal needs.
- Support fund documentation including PPMs, contribution agreements, and other investor-related documents.
- Provide advisory support on Companies Act, FEMA, SEBI regulations, and other corporate and securities laws.
Eligibility
- Bachelor’s degree in Law (LLB); additional qualifications such as CS, LLM, or securities law certifications preferred.
- 4–6 years of post-qualification experience in a Tier 1 or Tier 2 law firm, AIF fund house, or corporate legal team handling PE/VC transactions.
- Mandatory experience in AIF Category I fund compliance and regulatory management.
- Experience in due diligence on target companies for PE/VC investments.
- Strong technical knowledge of corporate law, securities law, and M&A.
- Excellent drafting, negotiation, and legal structuring skills.
- General corporate experience in advisory and drafting commercial agreements.
- Ability to manage multiple transactions/projects with minimal supervision.
- Prior interaction with SEBI, RBI, or other regulatory bodies is a plus.
- Excellent written and verbal communication, attention to detail, and strong business judgment.
