Details of the Job/Internship
Turbostart is hiring for the position of Senior Legal Associate with 4-6 years of experience to join their office in Bengaluru.
Role and Responsibilities
- Transaction Management: Lead PE/VC deals, from structuring and legal due diligence to drafting and negotiating key agreements (SHA, SSA, SPA, etc.) and managing closing formalities.
- AIF Regulatory Compliance: Manage all regulatory obligations related to SEBI AIF (Category I) including filings, investor disclosures, and compliance frameworks.
- Legal Drafting & Negotiation: Draft and negotiate a wide array of legal documents—investment agreements, term sheets, JV agreements, MSAs, SaaS agreements, IP licensing, vendor/customer contracts, and more.
- Stakeholder Coordination: Collaborate with internal teams, portfolio companies, external counsel, and regulatory bodies to drive legal processes and resolve complex issues.
- Fund Documentation: Assist in preparing and reviewing fund-related legal documents including PPMs, contribution agreements, and investor communications.
- Regulatory Advisory: Provide legal counsel on corporate, FEMA, SEBI, and securities law matters that impact both fund and startup operations.
Eligibility
- Education: LL.B. from a recognized institution. Additional credentials such as CS, LLM, or certifications in securities law are a plus.
- Experience: 4–6 years PQE with a reputed law firm, AIF house, or corporate legal team specializing in PE/VC and fund compliance.
- Mandatory: Hands-on experience with AIF Category I regulatory frameworks and SEBI compliance.
- Skills:
- Strong knowledge of M&A, corporate, and securities law.
- Proven ability in legal drafting, negotiation, and transaction structuring.
- Experience in due diligence and reviewing corporate governance frameworks.
- Capable of managing multiple projects independently and under tight timelines.
- Excellent stakeholder communication, written legal articulation, and commercial judgment.
- Experience interacting with regulatory bodies like SEBI and RBI is a plus.
- A keen eye for detail and a high degree of ownership.
