Details of the Job/Internship
Turbostart is hiring a Senior Legal Associate with 4–6 years of experience to join their office in Bangalore.
Role and Responsibilities
- Lead and manage end-to-end PE/VC investment transactions, including structuring, due diligence, drafting, negotiation, and closing activities.
- Ensure compliance with SEBI AIF Regulations for Category I funds, including filings, reporting, governance requirements, and investor disclosures.
- Draft, review, and negotiate investment-related documents such as SHAs, SSAs, SPAs, term sheets, and joint venture agreements.
- Draft, review, and negotiate commercial agreements including MSAs, customer and vendor agreements, license agreements, IP agreements, SAAS agreements, purchase orders, and proposals.
- Collaborate with internal teams, investors, external counsel, and portfolio companies to manage transactions and legal deliverables.
- Assist in drafting and maintaining fund documentation such as PPMs, contribution agreements, and investor-related documents.
- Provide advisory on Companies Act, FEMA, SEBI regulations, and other applicable corporate and securities laws.
Eligibility
- Bachelor’s degree in Law (LL.B.); CS, LLM, or securities law certifications are an advantage.
- 4–6 years of post-qualification experience in a tier I or tier II law firm, AIF fund house, or corporate legal team handling PE/VC transactions.
- Mandatory experience in Category I AIF compliance and regulatory management.
- Experience in conducting due diligence for PE/VC investments.
- Strong understanding of corporate law, securities law, and M&A.
- Excellent drafting, negotiation, and legal structuring skills for M&A and investment transactions.
- Experience in general corporate advisory and commercial contract drafting.
- Ability to manage multiple projects with minimal supervision.
- Strong ownership, attention to detail, and business judgment.
- Experience interacting with regulatory bodies such as SEBI and RBI is an advantage.
- Excellent written and verbal communication skills and strong attention to detail.
