Details of the Job/Internship
Turbostart is looking for a candidate for the position of Senior Legal Associate to join them in Bengaluru office.
Role and Responsibilities
- Draft, review, and negotiate various investment-related documents such as Share Purchase Agreements, Share Subscription Agreements, Shareholders Agreements, Investment Agreements, and Term Sheets.
- Draft, review, and negotiate a range of commercial agreements, including Master Service Agreements, Customer and Vendor Agreements, License Agreements, IP Agreements, SAAS Agreements, Purchase Orders, and Proposals.
- Manage all stages of the investment process, including advising on instruments, conducting legal due diligence, preparing and negotiating transaction documentation, and coordinating with relevant stakeholders for transaction closure.
- Lead and coordinate the legal due diligence process for investee companies.
- Structure M&A activities from a regulatory perspective, prepare and review transaction documents, and ensure compliance with applicable laws.
- Apply knowledge of regulatory laws, including the Companies Act, Competition Act, SEBI, FEMA, corporate laws, stamp duty, and IP laws, in all relevant transactions.
- Collaborate with various teams and stakeholders to ensure seamless execution of transactions and legal processes.
- Handle any other tasks as assigned, contributing to the overall legal strategy and operations.
Eligibility
- Minimum 5 years experience working in a reputed law firm.
- LLB;
- Experience in drafting definitive documents for M&A and PE/VC investment transactions.
- Experience in conducting Due-Diligence on target companies for PE/VC investment transactions.
- General corporate experience in advisory and vetting/ drafting of commercial agreements.
- Excellent written and verbal communication.
- Eye for detail; and
- Strong interpersonal skills.
Salary/Stipend
