Details of the Job/Internship
Unimarks Legal is hiring a Corporate Lawyer with a minimum of 5 years of experience to join their legal team.
Role and Responsibilities
- Draft, review, and negotiate commercial agreements including service agreements, vendor contracts, NDAs, MoUs, partnership agreements, employment contracts, and licensing agreements.
- Provide legal advisory support on corporate governance, regulatory compliance, and business operations.
- Handle company secretarial work such as board resolutions, minutes, and statutory records (if required).
- Ensure compliance with applicable laws including the Companies Act, labour laws, data protection laws, and sector-specific regulations.
- Conduct due diligence for mergers, acquisitions, investments, and other corporate transactions.
- Manage legal notices, draft replies, and coordinate with external counsel for litigation matters as needed.
- Conduct legal risk assessments and provide preventive guidance to internal teams.
- Draft policies, SOPs, and internal legal guidelines.
- Represent the organisation in negotiations with clients, partners, and regulatory bodies.
- Stay updated on developments in corporate, commercial, and regulatory laws.
Eligibility
- LLB/LLM from a recognised university.
- Minimum 5 years of corporate legal experience in a law firm or corporate legal department.
- Strong expertise in corporate law, contract drafting, compliance and commercial advisory.
- Good knowledge of the Companies Act, contract law, commercial laws, basic IP laws, labour laws, and arbitration procedures.
- Proven experience with due diligence, negotiations, and corporate transactions.
- Strong research skills and ability to interpret complex legal documents.
- Proficiency in maintaining legal documentation and drafting reports.
- Excellent written and verbal communication skills.
- Strong analytical, negotiation, and problem-solving abilities.
- High integrity, professionalism, and confidentiality.
- Preferred: Experience working with cross-functional teams, ability to work independently, strong business acumen, and experience coordinating with external law firms.
