Details of the Job/Internship
Ericsson is hiring for the position of Senior Legal Counsel with 15-17 years of experience to join their office in Gurugram.
Role and Responsibilities
- Provide strategic legal advice on a wide range of corporate and commercial matters, including joint ventures, partnerships, M&A, governance, regulatory compliance, and emerging legislation.
- Draft, review, and negotiate a variety of commercial agreements such as NDAs, procurement and vendor contracts, licensing agreements, service agreements, CSR agreements, and distribution contracts.
- Advise on corporate governance and regulatory compliance under Indian laws, including Companies Act, SEBI, FEMA, and industry-specific regulations.
- Manage corporate secretarial responsibilities, including organizing board and shareholder meetings, maintaining statutory records, and overseeing required filings.
- Liaise with external counsel for complex legal issues, regulatory inquiries, and litigation management (civil, commercial, and administrative matters).
- Partner with internal stakeholders—including business, operations, finance, HR, and compliance teams—to proactively identify and mitigate legal risks.
- Monitor changes in Indian and international legal landscapes and assess their impact on business operations.
- Lead legal support for business expansion and strategic initiatives across India.
- Conduct legal risk assessments and implement mitigation and governance strategies.
- Provide legal oversight for dispute resolution and ensure effective litigation management.
Eligibility
- Bachelor of Laws (LLB) from a recognized university.
- Qualified Company Secretary (CS) from the Institute of Company Secretaries of India (ICSI).
- 15–17 years of relevant experience in corporate and commercial law, with a mix of law firm and in-house (preferably MNC) experience.
- Strong command of Indian corporate, commercial, and regulatory laws; cross-border legal exposure is an added advantage.
- Demonstrated experience in contract negotiation, legal risk management, and corporate governance.
- Excellent communication, legal drafting, and analytical skills.
- Ability to work independently while effectively engaging and influencing senior stakeholders.
- High integrity, strong business acumen, and a proactive, solution-oriented mindset.
- Fluent in English and Hindi; additional regional or international language skills are a plus.
- Working knowledge of labor and employment laws is highly desirable.
