Details of the Job/Internship
Project Yananai is hiring a Senior Legal Counsel (Volunteer) with 7–10 years of experience to support its India operations in a home-based, remote role.
Role and Responsibilities
- Provide strategic, practical, and timely legal advice to the National Management Team, program leads, and partners.
- Interpret and apply Indian laws, regulations, and case law to ensure compliance and mitigate risk.
- Lead the end-to-end registration of Project Yananai Foundation as a Section 8 Company, including drafting MOA and AOA and structuring for FCRA readiness.
- Draft, review, and negotiate contracts, MOUs, partnership agreements, and other legal documents.
- Monitor compliance with applicable laws, including the Companies Act, FCRA, labour laws, tax exemptions, and data protection.
- Support the development and implementation of organisational policies on compliance, safeguarding, anti-corruption, and data privacy.
- Identify and manage legal and regulatory risks related to nonprofit and humanitarian operations.
- Support dispute resolution, litigation management, and regulatory inquiries in coordination with external counsel.
- Mentor regional Legal Counsels and deliver training on legal compliance, safeguarding, and risk management.
- Advise on governance, Board procedures, statutory filings, and maintenance of legal registrations.
- Ensure proper documentation, record keeping, and support for legal audits.
- Represent the organisation before legal forums, regulators, and sector networks as delegated.
Eligibility
- Bachelor’s degree in Law (LLB) from a recognised university.
- Master’s degree in Law (LLM) is preferred.
- Registered with the Bar Council of India and in good standing.
- Minimum of 7–10 years of legal experience, with at least 3 years in a senior legal role.
- Hands-on experience in Section 8 company registration with the Ministry of Corporate Affairs.
- Strong knowledge of nonprofit legal frameworks, including FCRA, Companies Act compliance, and tax exemptions.
- Experience in compliance, risk management, and stakeholder engagement.
- Excellent drafting, analytical, negotiation, and communication skills.
- High ethical standards and alignment with humanitarian values.
- Fluency in English and Hindi; Telugu proficiency is an advantage.
