Details of the Job/Internship

Resolute Corp is hiring a Senior Legal Counsel with 5-7 years of experience for their Ahmedabad office.

Role and Responsibilities

Contract Drafting, Review, Management & Negotiation

• Draft, review, and negotiate agreements viz; MOUs, NDAs, Contribution Agreements, Shareholder Agreements, Share Subscription Agreements, Franchise Agreements, Brand Endorsement Agreements, and other legal documents.
• Ensure compliance with legal requirements, company policies, and industry regulations based on agreements and its obligations.
• Identify potential risks and provide legal insights to protect the company’s interests.
• Maintain and update a centralized contract management system.
• Review and advise on contracts and agreements to ensure they comply with company policies and business requirements
• Track contract milestones, renewals, and expirations.
• Ensure timely execution, renewal, and termination of contracts.

Legal Advisory & Compliance:

• Provide legal advice on contract-related matters and business and investment transactions.
• Work with internal teams to address contract-related legal risks.

Negotiation & Coordination:

• Collaborate with internal stakeholders, clients, vendors, and external legal counsel.
• Assist in contract negotiations to secure favorable terms.
• Ensure proper documentation and execution of agreements.
• Identify potential legal risks in business contracts and suggest risk mitigation strategies.
• Assist in handling contract disputes and resolving legal issues.

Others

• Risk Assessment: Identify and assess legal and regulatory risks and develop strategies for risk mitigation
• Business Enabler. Anticipate the legal support needs of the business and help define and drive its strategic plans.
• General Advice Corporate Commercial Matters. Provide legal advice and review the process flow to mitigate the risk along with proper documentation.
• Due Diligence. Assist in due diligence program for target portfolios in accordance with Resolute’s policies and procedures as well as laws and regulations affecting its business operations. 

Eligibility

• 5-7 years’ experience in a multi-national company with India and Middle East exposure.
• Demonstrated superior collaboration and relationship-building skills
• Ability to offer sound legal advice 
• Self-starter able to thrive with minimal supervision
• Cultural, Business, and Regulatory sensitivity
• Good Corporate advisory, IPR, and Corporate Commercial Agreements track record

Major Exposure to Acts:-

• Contracts Act, Limitation Act, Sale of Goods Act, FEMA, IPR. etc
