Details of the Job/Internship
Resolute Corp is hiring a full-time, on-site Senior Legal Counsel for its Ahmedabad, Gujarat office. The role requires 5-7 years of experience in a multinational company in India, with major exposure to the Contracts Act, Limitation Act, Sale of Goods Act, FEMA, and IPR.
Role and Responsibilities
- Contract Drafting, Review, Management & Negotiation
- Draft, review, and negotiate agreements viz; MOUs, NDAs, Contribution Agreements, Shareholder Agreements, Share Subscription Agreements, Franchise Agreements, Brand Endorsement Agreements, and other legal documents.
- Ensure compliance with legal requirements, company policies, and industry regulations based on agreements and its obligations.
- Identify potential risks and provide legal insights to protect the company’s interests.
- Maintain and update a centralized contract management system.
- Review and advise on contracts and agreements to ensure they comply with company policies and business requirements
- Track contract milestones, renewals, and expirations.
- Ensure timely execution, renewal, and termination of contracts.
- Legal Advisory & Compliance:
- Provide legal advice on contract-related matters and business and investment transactions.
- Work with internal teams to address contract-related legal risks.
- Negotiation & Coordination:
- Collaborate with internal stakeholders, clients, vendors, and external legal counsel.
- Assist in contract negotiations to secure favorable terms.
- Ensure proper documentation and execution of agreements.
- Identify potential legal risks in business contracts and suggest risk mitigation strategies.
- Assist in handling contract disputes and resolving legal issues.
Eligibility
- 5-7 years’ experience in a multi-national company with India and Middle East exposure.
- Demonstrated superior collaboration and relationship-building skills.
- Ability to offer sound legal advice.
- Self-starter able to thrive with minimal supervision.
- Cultural, Business , and Regulatory sensitivity.
- Good Corporate advisory, IPR, and Corporate Commercial Agreements track record.
