Details of the Job/Internship
They are seeking a Senior Legal Counsel with expertise in commercial contracts to join their legal department and to assist the Head of Legal in providing legal advice and support to all departments of the Company, its affiliates, and subsidiaries on a wide variety of commercial, legal compliance and aviation-related matters.
In this role, you will manage a wide range of commercial matters (including cross-border matters), collaborating closely with both the legal team and the wider business functions. You will be responsible for developing and customizing contractual frameworks that align with the strategic objectives of the company, its affiliates, and subsidiaries, helping to drive business success while effectively managing legal risks. You should be comfortable working in a fast-paced environment with broad, generalist responsibilities, but with specialist legal subject skills in commercial law and compliance.
Role and Responsibilities
- Strong experience in drafting and negotiating of a wide range of commercial contracts including joint ventures, partnerships, shareholding, entity incorporations, cand oncession contracts. Capable of clearly and efficiently drafting and reviewing contracts to meet the complex commercial objectives of the Company.
- Collaborate with key stakeholders across the business advising on legal risks, business strategies and other issues related to the Company’s businesses.
- Provide expert legal advice and guidance to senior executives and departments on complex legal matters, ensuring compliance with applicable laws, regulations, and industry standards.
- Collaborate with internal stakeholders to develop and implement legal strategies, policies, and procedures that align with the Company's goals and protect its interests.
- To structure, draft, review and effectively negotiate joint venture, equity partnership and shareholding deals, transactional financing structures, the establishment of entities, and regulatory compliance of the Group and its subsidiaries.
- To liaise with the external legal service providers and ensure external legal activities and engagements are managed and coordinated effectively with cost efficiency.
- To conduct legal research and analysis, stay up-to-date with changes in laws and regulations, and proactively advise the organization on potential legal risks and implications.
- Stay updated on emerging legal trends, regulations, and best practices in the industry, and provide recommendations for proactive measures to mitigate legal risks.
- Any other ad hoc matters as required by the Head of Legal from time to time.
Eligibility
- Fully qualified and registered lawyer of good standing admitted to practice under a common law jurisdiction.
- Minimum of 7 years PQE and professional experience as in-house counsel and/or senior associate in a top-tier law firm with international clients. Industry knowledge is a plus.
- Fluent English language skills.
- Strong legal experience in commercial, corporate and compliance matters.
- Aviation industry knowledge is not mandatory but preferred.
- Experience with managing external legal counsel.
- Strong written, and real communication skills and fluency in English.
- Strong commercial and business acumen
- Proactive, independent, and efficient in managing large volumes of contracts, delivering quality work within tight deadlines under pressure, and undertaking other business decisions to secure the Company.
- Strong team player with excellent negotiation and communication skills.
- Ability to lead, provide a view, take responsibility and ownership of issues including an ability to take difficult decisions and provide substantiated arguments.
