Details of the Job/Internship
Persistent Systems is hiring for the position of Senior Legal Executive with 2-8 years of experience to join their office in Bengaluru.
Role and Responsibilities
Mergers and Acquisitions:
- Lead the drafting and negotiation of key transaction documents, including Letters of Intent, Stock Purchase Agreements, Asset Purchase Agreements, Merger Agreements, and related ancillary documents (employment agreements, earn-out agreements, transition services agreements).
- Manage due diligence processes, coordinating inputs from various teams and integrating findings into acquisition agreements and disclosure schedules.
- Serve as the primary transaction coordinator, ensuring seamless execution of M&A transactions, including signing and closing processes.
- Draft board minutes and consents for transaction approvals and maintain corporate records.
- Assess capitalization tables, stock options, and debt structures.
- Assist in post-acquisition integration, working closely with the corporate development team to align transaction structure with strategic objectives.
- Expertise in U.S. acquisitions is highly preferred, with exposure to acquisitions in other jurisdictions considered a strong asset.
Commercial Transactions:
- Structure, draft, review, and negotiate a range of commercial agreements, including Master Services Agreements, Statements of Work, Consulting and Independent Contractor Agreements, Employment Agreements, Software License and Reseller Agreements.
- Ensure contract compliance with internal policies and identify potential risks or disputes, summarizing findings for senior counsel and business decision-makers.
- Support commercial disputes management, liaising with insurance carriers, outside counsel, and opposing counsel.
Corporate Compliance and Support:
- Assist in managing corporate compliance, including annual state and country filings and maintaining minute books.
- Coordinate with internal functions (HR, Finance, Admin) to address legal queries and provide ongoing support.
- Conduct training sessions for employees on legal matters and best practices.
Eligibility
- Bachelor’s degree in law or equivalent experience.
- 2-10 years of relevant legal experience in M&A, corporate law, and commercial transactions.
- Strong command of English with excellent communication and negotiation skills.
- Ability to work independently and under pressure, managing multiple deadlines.
- Demonstrated ability to manage cross-functional teams effectively.
- Exposure to international transactions in the U.S., Asia, Europe, or the Middle East is an asset.
