Details of the Job/Internship

Persistent Systems is hiring a Senior Legal Executive with 2–8 years of experience in mergers & acquisitions and commercial transactions for its Bangalore office.

Role and Responsibilities

• Draft and negotiate LOIs, acquisition agreements (stock purchase, merger, asset purchase, slump sale), and ancillary documents.
• Manage due diligence reports, coordinate with diligence teams, and integrate findings into acquisition agreements.
• Act as transaction coordinator for signing and closing M&A deals.
• Draft board minutes, consents, and manage corporate due diligence.
• Work on capitalization tables, stock, debt, options, and post-acquisition integration.
• Draft, vet, and negotiate commercial contracts including MSAs, SOWs, consulting agreements, software licenses, and reseller agreements.
• Ensure contracts comply with internal standards and assess commercial disputes.
• Manage litigation and liaise with insurers, external and opposing counsel.
• Support HR, Admin, Finance, Visa Cell, and other internal functions in legal matters.
• Conduct employee training sessions on legal topics.

Eligibility

• Bachelor’s degree in Law (LL.B.) or equivalent.
• 2–10 years of relevant experience in M&A, corporate law, and commercial contracts.
• Experience or basic knowledge of legal due diligence.
• Strong drafting, communication, and negotiation skills in English.
• Ability to work independently and under pressure with strict timelines.
• Team management experience and solution-oriented approach.
• Exposure to U.S., India, and other international jurisdictions preferred.

Salary/Stipend
