Details of the Job/Internship

WEchartered is hiring a Senior Legal Executive to join them in their Gurugram office.

Role and Responsibilities

Provide legal support and advice to internal stakeholders on a variety of corporate and commercial matters.
Conduct legal research and analysis to ensure compliance with applicable laws, regulations, and industry standards.
Draft, review, and negotiate contracts, agreements, and other legal documents to safeguard the organization's interests.
Assist in managing litigation cases, including maintaining and organizing case-related documentation.
Collaborate with external legal counsel, investment banking teams, and other departments to address complex legal issues.
Provide legal guidance on investment banking transactions, including mergers, acquisitions, securities offerings, and due diligence.
Advise on regulatory and compliance matters related to financial markets and investment banking operations.
Stay updated on relevant legal developments, industry trends, and regulatory changes to proactively address potential risks.
Prior experience in a legal advisory role within an investment banking or financial services environment is strongly preferred.
Familiarity with financial regulations, securities compliance, and market practices.

Drafting and Repository Management

Draft and review various agreements, including NDAs, MOUs, SPAs, SHAs, and other corporate contracts.
Maintain and update a centralized repository of legal documents, ensuring proper indexing and tracking key milestones.

Regulatory Compliance (SEBI, FEMA, FDI, RBI)

Ensure compliance with SEBI, FEMA, FDI, and RBI regulations.
Prepare and file necessary regulatory documents and disclosures.
Advise on cross-border transactions and investment compliance.

Legal Notices and ESOP Management

Draft and respond to legal notices and pre-litigation queries.
Assist in structuring and implementing ESOP policies and agreements.

Transactional and Investment Documentation

Draft and review Shareholder Agreements, Investment Agreements, and other transaction-related documents.
Conduct due diligence for equity and investment transactions. Support legal aspects of equity restructuring and shareholding compliance.

Eligibility

Bachelor's degree in Law from a recognized institution; advanced certifications in finance or investment banking will be a plus.
Strong knowledge of corporate, commercial, and securities law, particularly in the investment banking domain.
Experience with mergers, acquisitions, and transactional law.
Proficiency in legal research, drafting, and negotiating complex agreements.
Excellent analytical and problem-solving abilities.
Effective communication and interpersonal skills to liaise with diverse teams and external stakeholders.
Ability to work independently and collaboratively in a fast-paced environment.
Litigation experience and enrollment in the BAR Council of Gurgaon will be preferred.
