Details of the Job/Internship
They are seeking a highly motivated Senior Legal Manager to join their dynamic legal team. This role will primarily involve providing comprehensive legal support across corporate and international legal matters, ensuring that Ajna Capital's operations comply with applicable laws and regulations. The ideal candidate will have a strong understanding of corporate law, and international legal frameworks, and with around 5 years of experience handling such matters in a corporate environment.
Role and Responsibilities
Corporate Legal Support:
- Provide strategic legal advice on corporate governance, mergers & acquisitions, joint ventures, and investment-related matters.
- Draft, review, and negotiate a wide variety of corporate documents, including contracts, agreements, and memoranda of understanding (MOUs).
- Advise on company structure, shareholder agreements, and compliance with corporate laws.
- Ensure adherence to local and international corporate regulatory requirements.
International Legal Advisory:
- Manage and coordinate legal matters involving international operations and foreign regulatory requirements.
- Advise on international business expansion, including setting up legal entities and navigating international trade laws.
- Oversee and support legal due diligence for international mergers, acquisitions, and joint ventures.
- Work closely with external counsel across different jurisdictions for effective handling of international legal matters.
Compliance & Risk Management:
- Guide on legal compliance matters, including data protection, anti-bribery, and other regulatory frameworks.
- Assist in the development and implementation of policies and procedures to mitigate legal risks and ensure regulatory compliance.
- Monitor ongoing legal and regulatory developments globally and advise internal teams on potential impacts.
Dispute Resolution & Litigation:
- Oversee the resolution of disputes and manage litigation involving corporate and international legal matters.
- Worked with external law firms, handled settlement negotiations, and advised on litigation strategy and risk management.
Cross-functional Collaboration:
- Partner with senior management, business development, and finance teams to provide legal counsel on strategic initiatives and business operations.
- Collaborate with the compliance and risk management teams to ensure the company's legal position is strong and aligned with business goals.
Eligibility
Education:
- Law degree (LLB, JD, or equivalent) from a recognized institution. An additional postgraduate qualification (LLM, MBA) would be advantageous.
Experience:
- At least 3-5 years of experience in corporate and international legal matters, preferably with exposure to financial services or investment management sectors.
Skills:
- Strong understanding of corporate laws, cross-border transactions, international regulatory environments, and dispute resolution.
- Experience in drafting and negotiating complex contracts and legal documents.
- Excellent analytical, communication, and negotiation skills.
- Ability to manage multiple legal matters simultaneously and under tight deadlines.
- Fluency in English (written and spoken) is mandatory; additional language skills are a plus.
- Experience working with multinational corporations or financial institutions.
- Expertise in international trade law, securities regulation, or tax law.
- Exposure to private equity, venture capital, or investment banking sectors.
- Strong business acumen and ability to align legal advice with business objectives.
- High attention to detail and ability to manage complex legal issues.
- Strong interpersonal and team collaboration skills.
- Ability to work independently and take ownership of legal matters.
- Proactive problem solver with the ability to think strategically.
Salary/Stipend
