Kotak Alternate Asset Managers Limited (formerly Kotak Investment Advisors Limited) is hiring for the position of Senior Legal Manager with 5-10 years of experience to join their office in Mumbai.
Role and Responsibilities
Legal Support for AIFs and Corporate Transactions:
- Draft, structure, and vet legal documents related to the establishment of Alternative Investment Funds (AIFs), liaising with regulatory authorities such as SEBI and IFSC.
- Draft and review NCD documents, debt agreements, and other business contracts.
- Attend and support negotiation meetings with counterparties and their representatives.
- Collaborate with law firms, solicitors, advocates, consultants, and other external stakeholders.
- Provide timely updates and guidance on changes in statutes and regulations impacting the business.
- Ensure compliance with relevant laws, including banking, finance, insolvency, bankruptcy, corporate, and sector-specific regulations.
General Corporate Legal Support:
- Provide high-quality, independent, and commercially relevant legal advice on a range of matters, including business structuring, transactions, and regulatory issues.
- Assist other business functions and provide legal support as needed.
Additional Duties:
- Undertake additional responsibilities and tasks as required, in alignment with business needs.
Eligibility
- Law Graduate from a prestigious law school with a strong academic track record.
- 5-10 years of post-qualification experience, preferably in a top-tier law firm or financial services firm, focusing on AIFs, Private Equity, Venture Capital, and related sectors such as banks, NBFCs, and investment firms.
- Strong knowledge of banking, finance, insolvency, and corporate laws.
- Familiarity with civil and criminal laws, IT laws, Stamp Act, Indian Trust Act, and other related areas.
- Excellent written and oral communication skills with strong negotiation abilities.
- Strong commercial acumen and the ability to critically assess legal and commercial risks.
- Ability to independently handle assigned work and deliver under tight timelines.
- Willingness to travel across locations as required by the role.
- An articulate self-starter who can work collaboratively as part of a team.
