Details of the Job/Internship
Zopper is hiring for the position of Senior Legal Manager to join their office in Noida.
Role and Responsibilities
1. Contract Drafting, Review & Negotiation
- Draft, review, and negotiate high-value contracts, including Master Service Agreements (MSAs), Non-Disclosure Agreements (NDAs), and other commercial contracts.
- Identify and mitigate contractual risks, ensuring minimal exposure to legal liabilities.
2. Legal Compliance
- Ensure adherence to all applicable laws, industry regulations, and internal policies.
- Draft, implement, and monitor internal compliance frameworks and standard operating procedures.
- Serve as a liaison with regulatory bodies and ensure timely regulatory reporting and alignment.
3. Company Secretarial & Statutory Compliance
- Ensure compliance with the Companies Act, 2013, and other applicable statutory requirements.
- Manage Board meetings, Registrar of Companies (ROC) filings, FEMA compliances, and maintain corporate governance standards.
- Liaise with investors for fulfilling both routine and event-based compliance obligations.
4. Dispute Resolution & Litigation Management
- Manage pre-litigation strategy and dispute resolution through negotiation or formal legal channels.
- Coordinate with external counsel and represent the company before courts and regulatory authorities, as necessary.
Eligibility
- Bachelor’s degree in Law (LLB); Company Secretary (CS) qualification is a plus.
- 4–7 years of relevant experience in contract law, compliance, and company secretarial matters.
- Strong understanding of corporate legal frameworks, statutory compliance, and regulatory environments.
- Excellent drafting, negotiation, and communication skills.
- Proactive problem-solver with the ability to manage multiple priorities in a fast-paced environment.
