Vistra is seeking an experienced Senior Manager – DT Legal with 7–10 years of expertise to join its Mumbai office.

Role and Responsibilities

• Draft and review transaction documents, including escrow agreements, deeds of pledge, and guarantees, while providing legal advisory support.
• Review and analyze client reports as per documentation requirements.
• Monitor and follow up on daily transactions with clients.
• Conduct property verification, including title reports and valuations.
• Ensure compliance with conditions precedent for loan disbursements.
• Prepare reports on legal compliance and documentation.
• Understand transaction structures, liaise with clients, and ensure necessary follow-ups.
• Brief internal teams on transaction details and required pre- and post-execution monitoring.
• Collaborate with various internal teams on transaction-related matters.
• Structure, draft, and negotiate trust formation agreements, debenture trust deeds, offer documents, securities issues, subscription agreements, and related security documents.
• Draft, review, and finalize financing agreements, commercial contracts, and security documents, including mortgages, hypothecation, and guarantees.
• Conduct due diligence, ROC searches, regulatory compliance checks, and title verification.
• Coordinate with external law firms for the drafting and execution of multi-jurisdictional contracts.
• Ensure compliance with loan disbursement conditions and maintain required documentation.
• Handle litigation and enforcement matters, including Section 138, SARFAESI, and IBC cases, in coordination with external legal counsel.
• Prepare notes for obtaining legal opinions from external agencies and issue internal legal opinions and transaction closure reports.
• Maintain regulatory and compliance MIS.
• Knowledge of Alternative Investment Funds (AIFs) will be an added advantage.

Eligibility

• 7–10 years of experience in legal and capital market structuring.
• Proven ability to drive organic growth by expanding client portfolios and increasing revenue.
• Hands-on operational experience across multiple jurisdictions and business divisions.
• Strong track record of partnering with senior management and influencing decision-making.
• Experience in change management, from conceptualization to full implementation.
• Bachelor’s or Master’s degree in Law.
• Strong leadership skills with the ability to collaborate effectively across teams.
• Strategic thinker with a proactive and solution-oriented mindset.
• Excellent communication, negotiation, and influencing skills.
• Ability to navigate diverse cultural and business environments.
• Experience in managing legal teams, talent retention, and process automation to enhance efficiency.
• Commitment to ensuring zero liability in transactional processes.
