Details of the Job/Internship
The Indian School of Business (ISB) is hiring for the position of Senior Manager, Legal with 10-12 years of experience to join their office in Hyderabad.
Role and Responsibilities
1. Legal Advisory & Risk Management
- Provide proactive legal support and guidance across all departments.
- Draft, review, and negotiate MoUs, NDAs, agreements, and legal notices.
- Respond to legal notices in coordination with external counsel and advise internal teams accordingly.
- Monitor ongoing legal cases, liaise with panel lawyers, and provide timely updates to senior leadership.
- Track litigation and case developments and ensure proper documentation.
- Identify legal risks and propose mitigation strategies.
- Circulate updates on new laws or regulatory changes impacting internal processes or policies.
2. Compliance Management
- Coordinate with government authorities and assist in regulatory inspections and audits.
- Monitor compliance through Legatrix software—review, update, and report monthly deviations.
- Conduct quarterly reviews of compliance tasks; update or revise in collaboration with external service providers.
- Maintain a central repository of all legal documents and agreements.
- Prepare standardized legal templates for NDAs, vendor contracts, MoUs, etc.
- Review contracts through internal platforms (e.g., CARRAR) and support departments on compliance queries.
- Facilitate closure of vendor-related final settlement agreements.
- Maintain and organize digital and physical records of legal and compliance documentation.
3. Secretarial Responsibilities
- Support the CFO in ensuring statutory secretarial compliance as per the Companies Act, 2013.
- Maintain and update statutory registers and records.
- Record and document minutes of Board, Committee, Audit Committee, and General Meetings.
- File required returns, reports, and forms with MCA and other regulatory authorities in a timely manner.
- Handle secretarial obligations including issuance of Letters of Appointment (LOAs), Declarations, Undertakings, and Power of Attorney (POA) documents.
- Manage periodic reviews of select school policies and recommend updates as required.
Eligibility
Education:
- Law degree (LLB or LLM); Company Secretary (CS) qualification preferred.
Experience:
- 10–12 years of experience in legal and secretarial functions, preferably within mid-sized corporates or premier educational institutions.
