Details of the Job/Internship

KKR is hiring a Senior Manager – Transaction Counsel (10+ years PQE) for its Gurugram office.

Role and Responsibilities

• Draft, review, and negotiate key deal documents including term sheets, SPAs, SHA, and ancillary agreements.
• Manage due diligence processes, identify critical risks, and advise on mitigation strategies.
• Support investment teams with legal input on structuring, risk allocation, and negotiation strategy.
• Oversee and coordinate with external counsel to ensure quality advice.
• Provide legal guidance on investment advisory, commercial contracts, and compliance.
• Collaborate with business, tax, finance, and compliance teams for integrated deal execution.
• Maintain transaction checklists, project trackers, and closing documentation.
• Conduct legal research, regulatory analysis, and monitor APAC jurisdiction developments.
• Drive process improvements, template creation, and policy enhancements.
• Manage transaction timelines, oversee workstreams, and ensure seamless execution.

Eligibility

• LLB or equivalent from a reputed institution.
• 10+ years experience in private equity, M&A, or transactional advisory with a top-tier law firm.
• Practical knowledge of private equity fund structures and governance in APAC.
• Strong drafting, negotiation, and analytical skills.
• Tech proficiency: MS Office, DocuSign, SharePoint, Litera, Adobe Acrobat Pro.
