CARS24 is hiring a Transaction Lawyer with experience of 4 years to join their office in Gurugram.
Role and Responsibilities
M&A Transaction Structuring and Execution:
- Draft, structure, negotiate, and execute M&A transactions, including share purchases, asset sales, joint ventures, business transfers, founders’ agreements, and trade sales, ensuring legal and financial compliance.
- Advise on the structure of deals to align with business goals and minimize risks, and lead negotiations on deal terms, valuations, warranties, indemnities, and post-transaction integration.
- Guide post-transaction integration, focusing on governance structures, employee transitions, and operational matters.
Stages of Acquisition and Investment:
- Manage M&A stages from LOI to closing, ensuring timely milestone execution.
- Advise on bridge rounds, structuring investments, negotiating terms with investors, and drafting agreements.
- Counsel on founder buy-ins and buy-outs, structuring equity stakes for optimal value and alignment with company goals.
Cross-border Transactions:
- Provide legal advice on cross-border M&A transactions, ensuring compliance with local and international laws, regulatory approvals, and tax structuring for efficient post-deal outcomes.
- Manage legal teams across jurisdictions to minimize risk exposure.
Strategic Advice on Exit Strategies:
- Advise on strategic exit options, including drafting exit clauses in investment agreements and guiding the company on the optimal sale structure (asset sale, share sale, or joint venture).
Post-Transaction Integration and Governance:
- Lead integration, advising on legal business operations integration, governance harmonization, and compliance with new corporate structures.
Debt Transactions:
- Draft, review, and negotiate debt financing transactions, including syndicated loans, term loans, WCDL, SL, cash credit, OD, STRL, ensuring compliance and risk mitigation.
- Lead negotiations on terms, covenants, and security interests in debt agreements, and manage debt restructuring, including intercreditor agreements and renegotiations.
Legal Review of Debt Agreements:
- Review and negotiate debt financing documents, including loan agreements, security agreements, guarantees, and other ancillary documents, ensuring all terms protect Cars24’s interests.
- Identify and address key legal issues such as loan defaults, security interests, and event of defaults, advising on dispute resolution methods in case of breaches.
Intercreditor and Debt Restructuring:
- Advise on the negotiation and drafting of inter-creditor agreements to define the priority of payments among different lenders and creditors.
- Support debt restructuring initiatives, including waivers, amendments, or renegotiations of existing debt facilities to improve terms or address changes in business circumstances.
Initial Public Offering (IPO) Support:
- Provide legal guidance for IPO preparations, including drafting key documents like the prospectus, red herring prospectus (RHP), final prospectus, and listing agreements.
- Work with external counsel and investment bankers to ensure compliance with SEBI regulations and stock exchange requirements.
- Lead the negotiation and drafting of underwriting agreements.
Private Equity & Venture Capital Raise:
- Advise on private equity (PE) and venture capital (VC) fundraising, including drafting investment agreements, term sheets, and shareholders' agreements.
- Ensure compliance with securities regulations and work with investment bankers and regulatory bodies to facilitate smooth processes.
Leadership of the Contracts Team:
- Oversee and manage a team of 3-4 members in the contracts function, providing guidance and support as required.
- Ensure timely and efficient handling of high volumes of standard contracts, while maintaining accuracy, compliance, and operational efficiency.
- Foster a collaborative team environment, enabling team members to deliver high-quality work independently.
Eligibility
- Bachelor’s degree in Law (LLB) from a recognized university.
- Minimum 4 years of experience in M&A, debt transactions, and equity capital raising at a Tier 1 or reputed law firm.
- Strong knowledge of corporate, securities, and financial laws, including the Companies Act, SEBI regulations, FEMA, and RBI guidelines.
- Proven experience in drafting and negotiating complex transaction documents.
- Excellent research, analytical, and problem-solving skills.
