TriVeda Capital is hiring a transactional lawyer to join them in Bengaluru office.
Role and Responsibilities
- Real Estate Transactions:
- Advise the AIF on a wide range of real estate transactions, including property acquisitions, sales, joint ventures, development agreements, and leasehold agreements. Ensure transactions are structured effectively to align with the fund's investment objectives.
- Investment Structuring & Documentation:
- Draft, review, and negotiate legal documents related to real estate investments, including share purchase agreements, asset purchase agreements, joint venture agreements, and financing arrangements. Ensure that the documents comply with relevant laws and regulations while protecting the fund’s interests.
- Fund Formation and Investment Compliance:
- Provide legal advice on the formation and operation of the AIF, including structuring funds, investor relations, and compliance with the Securities and Exchange Board of India (SEBI) regulations and other relevant laws governing AIFs. Advise on the structuring of real estate investments and ensure the fund complies with regulatory requirements.
- Due Diligence:
- Conduct in-depth due diligence for real estate assets, including title verification, land-use zoning, environmental assessments, regulatory compliance, and legal risk identification. Prepare comprehensive due diligence reports to support investment decisions.
- Real Estate Financing:
- Advise on the structuring of financing arrangements for real estate investments, including debt and equity financing, security interests, and financing agreements with banks, financial institutions, or other investors.
- Regulatory and Legal Compliance:
- Provide ongoing advice on compliance with local and national regulations, including property laws, land acquisition, SEBI regulations governing AIFs, and foreign direct investment (FDI) laws in real estate. Ensure that all legal and regulatory risks are mitigated in investment transactions.
- Client Liaison & Relationship Management:
- Serve as a key legal advisor for the AIF’s management team and external stakeholders, offering practical and strategic legal solutions that facilitate smooth transactions. Build strong relationships with internal teams, external investors, regulatory bodies, and other legal professionals.
- Cross-Border Transactions:
- Advise on international real estate investments and joint ventures, managing the legal complexities of cross-border transactions, foreign investments, and international laws affecting real estate deals.
- Dispute Resolution:
- Provide advice on resolving legal disputes related to real estate transactions, including litigation, arbitration, and settlement negotiations.
- Market Intelligence & Risk Management:
- Stay updated on changes in real estate laws, market trends, and regulatory developments to ensure the fund’s investments remain compliant and optimized for risk management.
Eligibility
- Graduate or Postgraduate degree in Law from a top-tier law school (preferably from an NLU or equivalent institution).
- Additional certifications or specialization in real estate law, corporate law, or investment law is a plus.
- Experience:
- Minimum 4-7 years of experience in real estate transactions, investment advisory, and corporate law, with a focus on real estate investments, joint ventures, and fund formation.
- Extensive experience in working with AIFs, private equity funds, or other investment vehicles focused on real estate is highly desirable.
- Commercial Acumen:
- Strong understanding of commercial transactions, especially in the real estate sector, with the ability to structure and negotiate complex investment deals effectively.
- Legal Expertise:
- Deep knowledge of Indian real estate laws, including land acquisition, property titles, zoning, environmental regulations, and relevant financial and investment regulations such as SEBI guidelines for AIFs.
- Strong drafting skills for real estate agreements, corporate documents, and transaction structures.
- Regulatory Knowledge:
- Familiarity with SEBI’s AIF regulations, FDI laws in real estate, and compliance with industry-specific regulations governing real estate investments and fund structures.
