Details of the Job/Internship
Bootes Impex Tech Ltd. is hiring an experienced and dynamic Company Secretary to join their team.
The ideal candidate will have 7-10 years of experience in company secretarial functions and legal compliances, with a proven track record of handling Initial Public Offerings (IPOs). The Company Secretary will ensure the organization complies with statutory and regulatory requirements, manages corporate governance, and acts as a point of communication between the board of directors and company shareholders.
Role and Responsibilities
Corporate Governance:
- Ensure compliance with all relevant statutory and regulatory requirements.
- Maintain and update the company's statutory registers and records.
- Ensure that decisions of the board of directors are implemented.
Legal Compliance:
- Advise on compliance with corporate laws and regulations.
- Monitor changes in relevant legislation and the regulatory environment.
- Liaise with external regulators and advisers such as lawyers and auditors.
IPO Management:
- Lead and manage the entire IPO process, including due diligence, regulatory filings, and liaison with regulatory bodies (SEBI, stock exchanges).
- Coordinate with internal and external stakeholders (investment bankers, legal advisers, auditors) to ensure successful execution of the IPO.
- Prepare the company for public listing and ensure compliance with all post-IPO requirements.
Documentation and Filing:
- Prepare and file necessary documents with regulatory authorities.
- Draft and review various corporate documents, agreements, and contracts.
- Maintain proper records of minutes of meetings and other legal documents.
Stakeholder Communication:
- Communicate with shareholders, ensuring transparency and compliance with regulatory requirements.
- Handle queries and concerns from shareholders regarding corporate actions and compliance issues.
- Risk Management:
- Identify and mitigate risks related to corporate governance and legal compliance.
- Develop and implement policies to minimize legal and compliance risks.
Eligibility
Educational Background:
- Bachelor’s degree in Law, Business Administration, Finance, or related field.
- Professional qualification as a Company Secretary (CS) .
Experience:
- 7-10 years of experience in a company secretarial role and legal compliance.
- Proven experience in handling IPO processes and related compliances.
- In-depth knowledge of corporate laws, securities regulations, and governance best practices.
