Details of the Job/Internship
Radha TMT is hiring a VP – Legal with 20+ years of experience to lead and manage the complete legal function across steel, power, real estate and M&A operations.
Role and Responsibilities
- Build, stabilise and lead the legal department across all group entities.
- Develop SOPs, contract management processes and a scalable legal MIS system.
- Mentor internal teams and manage panel advocates.
- Handle legal aspects of gas-based power generation including GSAs, GTAs, RLNG procurement, PPAs, EPC and O&M contracts.
- Ensure compliance with the Electricity Act, CERC/SERC guidelines, CEA regulations, PNGRB norms and environmental laws.
- Manage disputes involving DISCOMs, gas suppliers, transporters, EPC contractors and regulators.
- Handle legal matters for residential, commercial and mixed-use real estate projects.
- Conduct land due diligence, title verification and encumbrance checks.
- Draft/review JDAs, development agreements, sale agreements, sale deeds, builder-buyer agreements and vendor contracts.
- Ensure compliance with RERA, HMDA/GHMC approvals, environmental clearances and project registrations.
- Manage buyer disputes, land litigations and project arbitrations.
- Lead end-to-end legal processes for mergers, acquisitions, joint ventures, investments and divestments.
- onduct legal due diligence, risk assessments and compliance verification for transactions.
- Draft SPAs, SHAs, BTAs, APAs and JVAs.
- Coordinate with financial, tax, secretarial and operational teams during deal evaluation.
- Handle litigations across civil, criminal, commercial, labour, regulatory, property and arbitration matters.
- Draft, review and negotiate high-value contracts across all business verticals.
- Ensure compliance with Companies Act, power sector regulations, PNGRB norms, RERA, labour laws and environmental laws.
- Manage regulatory filings, approvals and inspections.
- Oversee land acquisition, conversion, zoning and registration processes.
- Resolve land disputes, RoW issues and title claims.
- Conduct legal audits, implement risk-mitigation strategies and ensure governance policies.
- Advise management on expansions, projects, acquisitions and major business decisions.
- Represent the group in negotiations, regulatory hearings and dispute resolutions.
Eligibility
LLB / LLM from a reputed university.
Salary/Stipend
